Terms of Service (End User License Agreement)

Agreement
These Terms of Service ("Terms") are a binding agreement between Rebecca Strout, an individual doing business as Dynamic Services ("Sunshyn," "we," "us") and the organization or individual that registers for or uses the Sunshyn Billing application at https://sunshyn-billing.com (the "Service"). By accessing or using the Service, you agree to these Terms.
If you use the Service on behalf of a practice or organization, you represent that you have authority to bind that organization.
The Service
Sunshyn Billing provides tools for lactation and related healthcare practices, including credentialing support, claim creation and submission, payment posting, eligibility checks, patient intake, reporting, and optional platform billing between Sunshyn and participating providers.
Features may change over time. Some features depend on third-party services (for example Claim.MD, QuickBooks Online, or Wave) that have their own terms.
Accounts and access
- You must provide accurate registration information and keep credentials confidential
- You are responsible for activity under your account
- We may suspend access for security reasons, suspected abuse, or non-payment of applicable fees
- Administrators control user access within their organization
HIPAA and protected health information
Where Sunshyn creates, receives, maintains, or transmits PHI on behalf of a covered entity or business associate customer, use of PHI is governed by applicable business associate agreements and HIPAA requirements in addition to these Terms.
Customers are responsible for obtaining appropriate patient authorizations, minimum necessary access, workforce training, and policies required for their practice.
Acceptable use
You agree not to:
- Use the Service in violation of law, payor rules, or professional standards
- Attempt unauthorized access, probe, or disrupt the Service
- Upload malware or interfere with other users
- Misrepresent identity, credentials, or billing information
- Reverse engineer or resell the Service except as expressly permitted
Trial, fees, and platform billing
The first trial month is a no-charge setup and evaluation period so the practice can configure the Service and decide whether to continue. If the trial begins after the fifteenth day of a calendar month, the trial continues through the end of the following full calendar month. Unless the practice cancels before the trial ends, the paid subscription begins immediately after the trial period.
Subscription, billing-service, Claim.MD, and platform invoice fees are described in your service agreement, order form, or published pricing. Claim.MD is an optional paid add-on and is not included merely because the Service can create, print, fax, or download an 837 claim file. Eligibility and ERA features require the applicable clearinghouse setup and may require separate NPI telephone verification.
Platform and Claim.MD invoices are due according to the invoice terms shown in the Service. Creating or sending an invoice does not authorize an automatic charge. A payment method is charged automatically only when the customer separately enables and authorizes an available autopay feature.
Optional accounting connections are initiated by administrators. You authorize Sunshyn to interact with a connected accounting account only to perform authorized actions, such as creating or syncing an invoice.
Third-party services
Integrations are provided for convenience. Sunshyn is not responsible for third-party outages, API changes, or data handling by third parties, though we work to maintain reliable connections.
When you connect QuickBooks or Wave, you also agree to the applicable provider terms and privacy policies.
Intellectual property
Sunshyn owns the Service, software, branding, and documentation. You retain ownership of your data. You grant Sunshyn a limited license to host, process, and display your data solely to provide the Service.
Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, SUNSHYN DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. SUNSHYN DOES NOT GUARANTEE CLAIM PAYMENT, PAYER APPROVAL, OR ERROR-FREE OPERATION.
Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SUNSHYN WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, OR DATA. SUNSHYN'S TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THE SERVICE IS LIMITED TO THE FEES PAID TO SUNSHYN FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
Cancellation, termination, and data export
You may cancel before the trial ends to avoid beginning a paid subscription, or request cancellation later through the available account-support process. Cancellation stops future service charges after the applicable paid period; it does not automatically reverse charges already earned or third-party fees already incurred.
Before leaving, an authorized practice user should export the practice data using the available export tool. We may suspend or terminate access for security, unlawful use, material breach, or nonpayment, with notice where practicable. After termination, retention, return, export, and deletion of data will follow the BAA, applicable law, required record-retention obligations, and any written service agreement. A deletion request does not require deletion of information that must legally or contractually be retained.
Governing law
These Terms are governed by the laws of the State of Georgia, excluding conflict-of-law rules, except where federal law applies (including HIPAA).
Privacy
Our Privacy Policy describes how we collect and use information and is incorporated into these Terms.
